This End User License Agreement ("EULA") is a binding legal agreement between you ("you" or "Licensee") and DeepSearch ("we", "us", "Licensor") governing your use of the DeepSearch mobile applications, desktop clients, and other software made available by DeepSearch (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
1. License Grant
Subject to your continuous compliance with this EULA and our Terms of Service, DeepSearch grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the Software on devices you own or control, solely for your personal or internal business use.
2. Restrictions
You shall not, and shall not permit any third party to:
- Copy, modify, adapt, translate, or create derivative works of the Software.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, or algorithms of the Software, except to the extent such restriction is prohibited by applicable law.
- Rent, lease, lend, sell, redistribute, sublicense, or otherwise transfer the Software to any third party.
- Remove, alter, or obscure any proprietary notices, labels, or marks on or in the Software.
- Use the Software to build or enhance a competing product, or to train any machine learning model.
- Use the Software in any manner that violates applicable law or infringes the rights of any third party.
- Circumvent any technical measures designed to control access to or use of the Software, including rate limits, licensing enforcement, or geographic restrictions.
3. Ownership
The Software is licensed, not sold. DeepSearch retains all right, title, and interest in and to the Software, including all intellectual property rights therein. No rights are granted to you other than those expressly set forth in this EULA. All rights not expressly granted are reserved.
4. Updates
We may, from time to time, provide updates, upgrades, bug fixes, or new versions of the Software. Such updates may be automatically delivered and installed. This EULA governs any update unless the update is accompanied by a separate license, in which case the terms of that separate license will govern.
5. Third-Party Components
The Software may include third-party open-source or commercial components that are subject to their own license terms. Those terms are made available within the Software or through related documentation and are incorporated herein by reference solely with respect to the relevant components.
6. Data Collection
The Software may collect and transmit data to our servers as described in our Privacy Policy. By using the Software you consent to such collection and processing.
7. Export Compliance
You represent that you are not located in, and will not access or use the Software from, any country or region subject to comprehensive sanctions, and that you are not listed on any government restricted-party list. You agree to comply with all applicable export control and sanctions laws when using the Software.
8. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice from DeepSearch if you fail to comply with any term of this EULA. Upon termination, you shall cease all use of the Software and destroy all copies in your possession or control. Sections 2, 3, 9, 10, 11, and 12 will survive any termination.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEEPSEARCH AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY DEEPSEARCH SHALL CREATE A WARRANTY.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEEPSEARCH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. IN NO EVENT WILL DEEPSEARCH'S TOTAL LIABILITY EXCEED THE GREATER OF THE AMOUNTS YOU PAID FOR THE SOFTWARE OR USD 50.
11. Indemnification
You agree to indemnify, defend, and hold harmless DeepSearch and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or connected with your use of the Software or your violation of this EULA.
12. Governing Law
This EULA is governed by and construed in accordance with the laws of the jurisdiction in which DeepSearch is established, without regard to its conflict-of-law principles. Any dispute arising under or related to this EULA shall be resolved in the competent courts of that jurisdiction, to the exclusion of any other jurisdiction, except where mandatory local law provides otherwise.
13. Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and DeepSearch regarding the Software and supersedes all prior or contemporaneous agreements. If any provision of this EULA is held to be unenforceable, the remaining provisions will remain in full force and effect.
